This course will introduce students to corporate governance in modern companies. You will learn the governance challenges modern firms face, how companies resolve these issues and the impact of financial markets on corporate governance. In the process, you will understand the basic principal-agent theory and the market for corporate control (takeovers, mergers, private equity).
Furthermore, students will get a strategic perspective on (i) corporate transactions and (ii) how financial markets can be utilized to exercise corporate control and influence.
